Our services may integrate with or rely on third-party platforms (cloud providers, APIs, etc.). We are not responsible for third-party service availability, functionality, or terms. Clients are responsible for complying with third-party terms of service.

By Client: Clients may terminate services with 30 days written notice. Client remains responsible for payment for work completed and expenses incurred through the termination date.

By TechNova Studios: We may terminate services immediately if client breaches these terms, fails to make timely payments, or if continuing services would violate applicable laws.

Effect of Termination: Upon termination, client must pay all outstanding invoices, return company property, and cease use of delivered materials until payment is complete.

16. Force Majeure

Neither party shall be liable for delays or failures in performance resulting from circumstances beyond reasonable control, including natural disasters, war, terrorism, labor disputes, government actions, internet failures, or pandemic events.

17. Governing Law and Jurisdiction

These Terms & Conditions are governed by the laws of the Federal Republic of Germany. Any disputes arising from these terms or our services shall be subject to the exclusive jurisdiction of the courts in Alsdorf, Germany.

18. Dispute Resolution

In the event of disputes, parties agree to first attempt resolution through good-faith negotiation. If negotiation fails, disputes may be submitted to mediation before pursuing litigation. This does not prevent either party from seeking injunctive relief for intellectual property violations.

We reserve the right to modify these Terms & Conditions at any time. Changes will be effective immediately upon posting to our website. Continued use of our services after changes constitutes acceptance of modified terms. Material changes affecting existing service agreements will be communicated directly to affected clients.

These Terms & Conditions, together with any service agreements, statements of work, and our Privacy Policy, constitute the entire agreement between client and TechNova Studios regarding use of our services, superseding any prior agreements.
